Any additional services may be offered on a case-by-case basis and will be subject to separate agreements or addendums.

1.4 Communication

You agree to communicate with us primarily through email, messaging apps (like WhatsApp or Slack), or our internal communication platforms. It is your responsibility to check your email and messages regularly for updates, deadlines, or feedback related to your project.

1.5 No Guarantees of Ranking

We do not guarantee specific results or rankings on search engines. SEO is influenced by many external factors beyond our control. We guarantee to follow best practices and apply proven strategies in good faith.

Part 2: Payments, Timelines, and Client Responsibilities

2.1 Pricing and Payment Terms

All pricing for services will be shared in writing via email or proposal documents. Prices are subject to change with prior notice.

  • Payments are to be made in advance unless otherwise agreed.
  • Recurring services (like monthly SEO retainers) are billed at the start of each cycle.
  • Delayed payments beyond 7 calendar days may result in work stoppage until dues are cleared.

We accept payments via bank transfer, PayPal, Wise, or any method clearly mentioned in our invoice. All transfer fees or currency conversion charges are the client’s responsibility.

2.2 Refund Policy

Due to the nature of digital services, we do not offer refunds once work has commenced. However, in cases of overpayment or billing errors, we will issue appropriate refunds after verification.

2.3 Project Timelines and Delivery

Project timelines vary based on scope and will be communicated at the start. Any estimated delivery dates are subject to change due to:

  • Delays in client feedback
  • Unforeseen technical issues
  • Third-party dependencies (e.g., hosting, CMS limitations)

Delays caused by the client (missed deadlines, unresponsive communication, or incomplete inputs) may lead to rescheduling or extra charges.

2.4 Client Responsibilities

The client must:

  • Provide complete, accurate, and timely information needed to carry out the work
  • Grant access to relevant platforms such as CMS, hosting, Google Search Console, Google Analytics, and other SEO tools as required
  • Review deliverables within the agreed timeframes
  • Follow recommended implementation guidelines, especially in technical SEO and content updates

Zaid SEO is not responsible for performance issues arising from the client’s failure to follow or implement our recommendations.

2.5 Third-Party Services

If services require third-party tools (e.g., premium SEO tools, plugins, domains, hosting), the client is responsible for covering those costs unless otherwise agreed.

Part 3: Intellectual Property, Confidentiality, and Use Rights

3.1 Ownership of Work

Upon full payment, all original content created by ZaidSEO (e.g., articles, keyword strategies, technical audits, on-page SEO recommendations) becomes the property of the client. However:

  • ZaidSEO retains the right to showcase non-sensitive parts of the work (like before-and-after performance snapshots, non-branded reports, etc.) for portfolio or case study purposes unless the client requests otherwise in writing.
  • Tools, templates, SOPs, and proprietary systems used during service delivery remain the property of ZaidSEO and are not transferred.

3.2 Pre-Existing Intellectual Property

Any materials shared by the client for use during the project (e.g., logos, brand content, or existing website assets) remain the sole property of the client. The client confirms they have legal rights to use and distribute such materials.

ZaidSEO is not liable for copyright violations if the client provides materials they do not legally own.

3.3 Confidentiality

Both parties agree to keep all sensitive and proprietary information confidential. This includes:

  • Login credentials
  • Analytics and financial data
  • Business strategies
  • Client lists
  • Any information marked or reasonably assumed as confidential

We do not sell, rent, or trade your data. Confidentiality obligations will survive the termination of service for a period of 2 years.

3.4 Public Use and Case Studies

ZaidSEO may publish generalised case studies, performance insights, or success metrics without revealing confidential details or the client’s identity unless explicitly permitted.

If a client prefers not to be included in any public reference, they must request this at the beginning of the project in writing.

Part 4: Limitation of Liability, Disclaimers, and Termination

4.1 Limitation of Liability

ZaidSEO will make every effort to provide high-quality SEO services in line with industry standards. However, due to the nature of SEO and the fact that search engine algorithms are controlled by third parties (e.g., Google), we do not guarantee specific rankings, traffic numbers, or revenue increases.

To the fullest extent permitted by law:

  • ZaidSEO shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
  • Our total liability for any claim arising out of or relating to the services will not exceed the total fees paid by the client in the last 3 months of service.

4.2 Disclaimers

  • SEO results vary depending on industry, competition, and the client’s website history.
  • We are not responsible for any changes made by the client or third parties to the website that negatively affect SEO performance.
  • We do not take responsibility for third-party platforms such as hosting providers, CMS software, plugins, or tools unless otherwise stated in a separate service agreement.
  • Any delays caused by the client (e.g., delayed approvals, missed payments, lack of content delivery) may affect project timelines and results.

4.3 Termination

Both parties have the right to terminate the service agreement at any time with a 7-day written notice.

Upon termination:

  • The client is responsible for paying for any work completed up to the termination date.
  • No refunds will be issued for partially completed months unless otherwise agreed.
  • All files, reports, and deliverables already paid for will be handed over to the client.
  • Any unpaid dues must be cleared within 7 days of termination.

We reserve the right to pause or cancel services if the client violates our payment terms, engages in unethical behavior, or misuses the services provided.

4.4 Governing Law and Jurisdiction

By using our services, you agree that any disputes or claims will first be addressed through mutual discussion or arbitration. If no resolution is reached, the matter will be governed by applicable laws based on your country of residence and ours. We aim to resolve all issues fairly, with minimal legal escalation.

Jurisdiction will be determined in good faith and in practicality based on the client’s location and the nature of the services provided.
